Overview

The Company is a diversified, utilities oriented electrical contractor with primary emphasis on utility maintenance and construction of transmission and distribution infrastructure.  They also provide directional boring, street lighting, traffic controls, commercial electrical and industrial electrical services. Additionally, they have the expertise and customized equipment to complete utility projects in environmentally sensitive areas such as wetlands, a sector of the industry with very little competition. The Company is licensed to operate in nine states and is active in the development and support of college level electrician certification courses that prepare students for employment with the Company.    

Transaction

The majority owner desires to sell 100% of his stock, a 65% interest, for estate planning purposes.

He will remain available for the acquirer on a consulting basis. His relationships and assistance in this capacity will be invaluable for an acquirer. Senior management, who have managed the Company and own a significant portion of the Company desire to remain with and grow the Company. They would like to continue to hold an equity position.
